Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the FuzeForth data-integration application and related services (the “Service”), provided by FuzeForth Technologies (“FuzeForth,” “we,” “us,” or “our”). By connecting your account to, or otherwise using, the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Description of the Service

The Service connects to third-party business systems — including QuickBooks Online, provided by Intuit Inc. — with your authorization, and retrieves accounting data on a read-only basis to consolidate it into reporting destinations that you control (such as Google Sheets and Google BigQuery) for reporting, reconciliation, and analysis.

2. Authorization and eligibility

To connect a QuickBooks Online company to the Service, you must be authorized to grant such access — typically an administrator of that company. You represent that you have the authority to authorize the connection and to permit the data access described in these Terms and our Privacy Policy.

3. License

Subject to these Terms, FuzeForth grants you a limited, non-exclusive, non-transferable, revocable license to use the Service for your internal business purposes. You may not copy, modify, distribute, sell, sublicense, reverse-engineer, or create derivative works of the Service except as permitted by law.

4. Acceptable use

You agree not to:

  • Use the Service in violation of any applicable law or regulation, or the terms of any connected third-party service (including Intuit’s terms);
  • Attempt to gain unauthorized access to the Service, its systems, or other users’ data;
  • Interfere with or disrupt the integrity or performance of the Service;
  • Use the Service to access data you are not authorized to access.

5. Third-party services

The Service depends on third-party platforms, including Intuit Inc. (QuickBooks Online) and Google LLC (Google Apps Script, Sheets, and BigQuery). Your use of those platforms is governed by their own terms and policies. FuzeForth is not responsible for the availability, accuracy, or practices of third-party services.

6. Data ownership

As between you and FuzeForth, you retain all rights to your accounting data. FuzeForth claims no ownership over the data accessed through the Service. Our handling of that data is described in our Privacy Policy.

7. Disconnection and termination

You may stop using the Service and revoke its access at any time by disconnecting the app within QuickBooks Online (Settings → Apps → Disconnect). We may suspend or terminate access to the Service if you breach these Terms or if required to protect the Service or comply with law. Upon termination, the license granted to you ends and the Service will cease accessing your connected data.

8. Disclaimer of warranties

The Service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement. FuzeForth does not warrant that the Service will be uninterrupted, error-free, or that the data it retrieves will be complete or accurate. The Service is a data-consolidation tool and is not a substitute for professional accounting, tax, or legal advice.

9. Limitation of liability

To the maximum extent permitted by law, FuzeForth will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business, arising out of or related to your use of the Service. Our total aggregate liability for any claim arising out of or relating to the Service will not exceed the amount you paid to FuzeForth for the Service in the twelve months preceding the claim, or, if no fees were paid, one hundred U.S. dollars (USD 100).

10. Indemnification

You agree to indemnify and hold harmless FuzeForth from any claims, damages, liabilities, and expenses arising out of your use of the Service or your violation of these Terms or applicable law.

11. Changes to these Terms

We may update these Terms from time to time. Material changes will be reflected by updating the “Effective date” above. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

12. Governing law

These Terms are governed by the laws of the State of Texas, United States, without regard to its conflict-of-laws principles. Any dispute arising under these Terms will be subject to the exclusive jurisdiction of the courts located in Texas, unless otherwise required by applicable law.
